Purpose
Toolstem SEC MCP Server is an SEC EDGAR filing intelligence MCP server designed for AI agents. Its core idea is to precompute high-value signals on top of raw filings and return them as structured JSON, so agents can obtain insider signals, institutional fund flows, and material event summaries without having to parse raw EDGAR data themselves.
Main capabilities
The server provides five composite tools (all are aggregation or derived computations, with no direct pass-through of raw data):
-
get_company_filings_summary: Returns an overview of a company's filing activity, including the most recent 20 filings and computed signals.
-
get_insider_signal: Detects Form 3 / 4 / 4-A insider filing activity within a specified lookback window. ticker_or_cik is required, and lookback_days is optional (1–730, default 90). Returns recent_insider_filings[] (including accession numbers and SEC URLs), net_transaction_count, buy_count, sell_count, and insider_signal.
-
get_institutional_signal: Detects activist investor activity through SC 13D / 13D-A filings. ticker_or_cik is required, and quarters_back is optional (1–20, default 4, about one year).
-
get_material_events_digest (Premium tier): Generates a summary of all 8-K and 8-K/A filings within a configurable lookback window, sorted by severity, with each item code mapped to a plain-English label and severity rating. ticker_or_cik is required, and lookback_days is optional (1–1825, default 365). Returns events[] (most recent first), redflag_count, category_counts.
-
compare_disclosure_signals: Performs a side-by-side comparison of 2–5 companies across all key disclosure signals. tickers_or_ciks is required (string array, 2 to 5). All queries are executed in parallel. For each company, returns filing_velocity, material_event_count_90d, redflag_count_365d, activist_risk_flag, last_filing_date. It also returns "winners" such as quietest_disclosure, most_active, most_redflags, activist_targets (returned as CIKs, which need to be matched against the companies[] array).
How to use
Hosted endpoint (recommended): Simply point your MCP client or agent at the hosted endpoint; no API key, no infrastructure, no registration or market account required. Billing is per call via the x402 protocol, with the agent wallet paying directly in USDC on Base mainnet. initialize and tools/list are free (for discovery and schema introspection), while tools/call is billed by tool tier. You can put the configuration into claude_desktop_config.json and restart Claude Desktop, then ask, for example: "Has TSLA disclosed any material 8-K events in the last 90 days?". You can also connect directly to the hosted URL through the official @langchain/mcp-adapters library; the langchain-toolstem wrapper library can handle x402 payments on your behalf, and passing in a funded wallet key automatically includes the SEC tools.
Self-deployment: Suitable for users who explicitly want to run the server themselves; supports both stdio and HTTP (npm MCP stdio transport, self-hosted HTTP, with local being the safest default, and also supporting remote modes with or without authentication). When self-deploying, you need to run the process yourself and provide an EDGAR fair access contact (SEC_USER_AGENT_CONTACT). Self-hosting incurs no x402 fees.
Suitable scenarios
Suitable for scenarios that require AI agents to quickly obtain filing intelligence on public companies, such as monitoring company filing activity, detecting insider filing activity, flagging activist investor risk, summarizing material 8-K events, and horizontally comparing disclosure signals across multiple companies.
Limitations
- No SEC API key required; data comes directly from the SEC EDGAR public filings API; all outbound traffic goes through a shared sliding-window rate limiter (target 8 rps, which is below the SEC hard limit of 10 requests per second with a 4 rps safety margin), and each request carries a User-Agent header identifying the package and contact email per SEC policy, with the contact email overridable via an environment variable. Violating the SEC fair access policy may result in the IP being banned.
- v0.1 limitation (insider signals): Only counts and Form 4 references are returned; direction-aware buy/sell signals are planned for v0.2 (Form 4 XML parsing). Currently insider_signal is null when filings exist within the window (direction unknown), and "NEUTRAL" when there are no insider filings (verified absence); in v0.1, buy_count / sell_count are 0.
- v0.1 limitation (institutional signals): Only activist flags are provided. v0.1 provides the real-time activist_risk_flag from 13D/13D-A and the 13D filing list; quarterly 13F XBRL parsing (producing institutional_signal's ACCUMULATING / HOLDING / DISTRIBUTING and recent_13f_count) is planned for v0.2, and these two fields are currently null / 0.
Pricing
Hosted endpoints are billed per call under the x402 protocol, settled in USDC on Base mainnet, with no API key, no subscription, and no invoice, and the agent wallet automatically settles each time via EIP-3009. Among these, get_material_events_digest is a Premium tier, with the materials stating 0.50 USDC per call on Base mainnet; the other tools are billed by tier, and the specific rates are subject to the live pricing page at toolstem.com/sec/. initialize and tools/list are free.
Roadmap (as stated in the materials)
Form 4 XML parsing (direction-aware insider signals STRONG_BUYING / BUYING / NEUTRAL / SELLING / STRONG_SELLING and net share count); 13F XBRL parsing (quarterly institutional flow signals and institution count); 8-K text extraction (generating natural-language summaries of each material event from the filing's primary HTML document).
