Art. 30 Fiduciant's right to be placed in possession

2.1 Risk Of Nullity Of The Public Auction

HIGH RISK — Always Verify:

a) Notification of the spouse (Art. 842 CPC)

  • The spouse MUST be personally notified of the attachment on real property
  • Lack of notification = relative nullity (depends on harm)
  • STJ: nullity is not automatic, but it is a frequent argument for annulment
  • How to verify: check whether the case file contains notification of the spouse/partner

b) Notification of the debtor (Art. 889, I CPC)

  • The debtor must be notified of the auction (unless already represented by a lawyer)
  • Minimum deadline: 5 days before the auction
  • Absence = possible nullity

c) Publication of the Notice (Art. 887 CPC)

  • Minimum notice period
  • Adequate publication vehicle (newspaper of wide circulation or electronic)
  • Mandatory content of the notice (Art. 887, §1º)

d) Outdated Appraisal

  • If the property was appraised more than 1 year ago, it may give rise to reappraisal (Art. 873, IV CPC)
  • Bid based on outdated appraisal = risk of challenge

e) Non-Declared Exemption from Attachment

  • Homestead not declared in the case records may be asserted after the auction
  • Risk: auction sale annulled (Art. 903, §1º, II CPC — up to 10 days after)

2.2 Homestead (Law 8.009/90)

General Rule (Art. 1): The property used as the family's residence is exempt from attachment.

Exceptions (Art. 3) — Property MAY be attached when:

  1. Credit of workers of the residence itself and respective social security contributions
  2. Financing for construction or acquisition of the property itself (SFH, fiduciary alienation)
  3. Taxes, property or territorial, fees and contributions owed on the property
  4. Foreclosure of mortgage on the property (if constituted before its designation as homestead)
  5. Criminal acquisition of the asset
  6. Suretyship in a lease agreement (Súmula 549 STJ — controversial)
  7. Obligation arising from alimony

How to verify whether it is homestead:

  • Check the case records to see whether the debtor asserted exemption from attachment
  • Check whether there are other properties in the debtor's name (only one = presumably homestead)
  • Single and widowed persons also have protection (Súmula 364 STJ)

ATTENTION: If the homestead was not asserted before the auction and the buyer is in good faith, case law tends to preserve the auction sale (Art. 903, §1º CPC). But the risk exists — assess case by case.

2.3 Real Encumbrances That Accompany The Property

What the buyer inherits:

Encumbrance Accompanies? Legal Basis
Mortgage prior to attachment ⚠️ May accompany Depends on order and purge
Mortgage subsequent to attachment Does not accompany Art. 908 CPC
Overdue IPTU Yes — propter rem Art. 130 CTN
Overdue Condominium fees Yes — propter rem Art. 1.336 CC + Súmula STJ
Registered usufruct Yes — respects the usufructuary Art. 1.394 CC
Registered easement Yes — accompanies the property Art. 1.378 CC
Emphyteusis (laudêmio) Yes — if marine land SPU
Attachments from other cases Check order of preference Art. 908 CPC

IPTU and Condominium:

  • They are propter rem obligations (they follow the property, not the person)
  • The winning bidder is liable for existing debts, unless expressly provided otherwise in the auction notice
  • STJ: in a judicial auction, the winning bidder may not be liable for prior debts if the auction notice expressly transfers liability to the creditor
  • ALWAYS verify in the auction notice who is liable for the debts

2.4 Deadline For Annulment Of The Auction (Art. 903 CPC)

The auction may be set aside by:

a) 10 days after the auction (Art. 903, §1):

  • Procedural defect (Art. 903, §1, I) — defect in the proceeding
  • Non-attachability of the asset (Art. 903, §1, II)
  • Legal incapacity of the winning bidder (Art. 903, §1, III)

b) Annulment Action / Third-Party Embargoes (statute of limitations):

  • An aggrieved third party may file embargoes (Art. 674-681 CPC)
  • Deadline: up to 5 days before the auction (preventive embargoes) or after
  • A spouse with a marital share may file embargoes even after the auction

c) Judicial rescission (Art. 903, §2):

  • After the auction deed is issued
  • Only by a separate action — more difficult

Practical risk: The more recent the auction and the more contested the proceeding, the greater the risk of annulment. A property with great emotional value to the debtor = greater risk.

3.1 Reading The Property Registry (Certificate Of Encumbrances)

What to verify:

  1. Identification of the property (number, area, boundaries)
  2. Current ownership — who the owner is
  3. Registered encumbrances and charges:
    • Mortgages and their order
    • Attachments already registered (other proceedings)
    • Usufruct, easement, right of habitation
    • Clauses of inalienability, non-attachability, non-transferability
    • Fiduciary assignment in favor of a bank
  4. History of owners — trace defects of origin
  5. Permanent preservation area, navy zone (laudêmio)
  6. Existence of a usucapion action, rectification, etc.

3.2 Reading The Judicial Proceeding

What to look for in the case file:

  • Initial petition of the execution — amount of the original debt
  • Registered attachment certificate
  • Appraisal report — date and value
  • Notifications made — spouse, debtor, creditors
  • Published auction notice — verify compliance with Art. 887 CPC
  • Embargoes filed and their status
  • Certificates from the court clerk's office

For The Winning Bidder/Investor:

  1. Request a full certified copy of the case file before the auction
  2. Verify notifications to the spouse
  3. Confirm that there are no embargoes with suspensive effect
  4. Check whether there is any claim of family homestead in the case file
  5. Obtain property tax and condominium certificates to quantify debts
  6. Analyze an updated property registry (certificate of real encumbrances)
  7. After auction: file request for transfer of possession immediately

For the Debtor/Defendant:

  • May file debtor's embargos (Art. 525 CPC — against judicial title)
  • May request installment payment (Art. 916 CPC — 30% + installments)
  • May purge the default (out of court, until the 1st auction)
  • May request adjudication for relatives (Art. 876, §5º CPC)
  • May assert homestead (bem de família) before the auction

5. Essential Legal Glossary

Term Definition
Adjudication Forced transfer of the asset to the creditor as payment (Art. 876 CPC)
Auction Sale Purchase of the asset at auction by a third party
Auction Sale Record Document that formalizes the purchase at auction
Auction Sale Deed Title for registration of the property at the registry office
Consolidation Transfer of fiduciary ownership to the creditor after default
Third-Party Embargos Action to protect the right of someone who is not a party to the execution
Public Auction Judicial auction of attached assets
Transfer of Possession Action to take possession of the auctioned property
Attachment Judicial seizure of an asset to secure the execution
Foreclosure Sale Auction of real property in execution
Propter Rem Obligation that follows the asset (property tax, condominium fees)
Purge of Default Payment of the debt to prevent loss of the property
Usufruct Right in rem to use and enjoy another's asset
Grossly Inadequate Price Derisory bid — below 50% of the appraisal value (STJ parameter)

6. Fraud Against Execution (Art. 792 CPC)

The alienation of an asset is considered fraud against execution when:

  1. There is already a legal action capable of leading the debtor to insolvency (Art. 792, IV CPC)
  2. There is a record of attachment or seizure in the property registry (Art. 792, II CPC)
  3. The purchaser does NOT prove good faith (Art. 792, §2º CPC)

Relevance for the auction buyer:

  • If the debtor sold the property to a third party AFTER service of process in the execution, that sale may be declared fraudulent — the property may be attached even in the buyer's name
  • The auction buyer at auction acquires the property free of that defect (acquires originally according to part of the doctrine, or derivatively but with protection — divergence)
  • STJ: The auction sale at public auction is protected, as it is a judicial act and the good-faith auction buyer cannot be harmed (REsp 1.141.990/SP)

7. Land Regularization (Law 13.465/2017 — Reurb)

Relevance for auctions:

  • Properties without full registration or under informal occupation can be regularized through REURB
  • REURB-S (Social): low-income residents — free of charge
  • REURB-E (Specific): other situations — costs borne by the interested party

When to consider:

  • Auction property without a habite-se, with divergent area or in an irregular subdivision
  • REURB can open the way for registration that would be impossible through the conventional route
  • Cost and timeframe of REURB vary greatly by municipality (6-24 months)

8. Compulsory Adjudication (Art. 1,418 Cc + Law 6,766/79)

For the winning bidder:

  • If after the auction the debtor refuses to sign the deed or there is a registration impediment, the winning bidder can use the auction certificate as a judicial title for direct registration (Art. 901 CPC)
  • In unfulfilled promise-of-sale-and-purchase agreements, compulsory adjudication is the route to obtain the deed

For extrajudicial auction properties:

  • The fiduciary creditor already has consolidated ownership — no adjudication is needed
  • The winning bidder receives the deed directly from the fiduciary creditor

9. Online Attachment And Digital Assets

Recent development:

  • SISBAJUD (formerly Bacen Jud): a judge can freeze accounts in seconds
  • Attachment of cryptoassets and REIT shares: possible, but regulation is evolving
  • Attachment of domains and digital assets: still rare, but growing
  • Implication: the debtor may have assets frozen even before the property is attached

Itbi

  • Calculation basis: divergence — some municipalities charge on the MARKET VALUE and not on the auction value
  • STJ (Theme 1,113): ITBI should apply to the effective transaction value (bid), not to the assessed value — the winning bidder can challenge a charge on VMP
  • Attention: many municipalities still charge on VMP — possible administrative challenge

Capital Gain Tax (On Resale)

  • Rate: 15% on the capital gain (sale price - acquisition cost)
  • Acquisition cost: auction value + notary costs + ITBI + commission
  • Exemption: sale of the only property up to R$ 440,000 every 5 years (Law 11,196/2005)
  • Exemption: purchase of another residential property within 180 days (Art. 39 Law 11,196)
