Purpose

The land charge is by far the most common real property lien in German lending practice — and the only one whose link to the secured claim lies not in statute but in contract . Anyone who does not understand this break systematically underestimates the risks: the land charge continues to exist once the loan has been repaid, and it can be assigned in isolation. This skill drafts and reviews the creation of the land charge, the security agreement and the submission to enforcement, and classifies the owner's lines of defence.

Inputs

  • Role: lender, security provider (owner), buyer with authority to encumber, third-party security provider
  • Property and current land register status in Division III (rank, rights with and without outstanding balance)
  • Land charge amount, interest rate (usually 12–18 % p. a. in the land register), ancillary benefit
  • Secured claim: loan agreement, current account, broad or narrow security purpose
  • Existing declaration of security purpose in its wording; standard form or individual agreement
  • Submission clause: submission to enforcement against the property only, or also personal assumption of debt?
  • In the case of assignment: assignee, time, knowledge of the security character, status of the outstanding balance
  • In the case of unwinding: repayment status, release authorization already granted, other security holders

Sub-agent architecture

  1. Researcher (../../agents/researcher.md) obtains §§ 1113–1192 BGB, §§ 726–727, 794, 797 ZPO with URL as well as commentary passages (Grüneberg, MüKoBGB, Clemente Recht der Sicherungsgrundschuld).
  2. Drafter (../../agents/drafter.md) prepares the deed of creation, declaration of purpose or statement of defence.
  3. Reviewer (../../agents/reviewer.md) reviews the security purpose, scope of submission, basis of the clause and the return provisions.

Process

1. Distinction between land charge / mortgage (§ 1113 BGB, § 1191 BGB)

The mortgage is accessory: it presupposes a claim, follows it in existence and amount and, upon its repayment, becomes an owner's land charge. The land charge is not accessory (§ 1192 para. 1 BGB): it encumbers the property for payment of a specific sum of money, irrespective of whether a claim exists. Practical consequences:

  • Upon repayment of the loan, the land charge remains in full amount; it can be reused for a new loan — that is its economic advantage.
  • The owner has against the creditor a contractual right to return, no automatic transfer of rights.
  • The only link to the claim is the security agreement. If it ceases to exist or is exceeded, this has effect only under the law of obligations — as a defense, not as a matter of property law.

2. Creation and content (§ 1191 BGB, § 873 BGB)

The land charge arises through agreement and registration. The creditor, the amount of money, the interest rate and ancillary performance as well as the rank must be registered. As a rule, the registered land charge without a certificate is chosen: the issuance of the certificate is excluded under § 1192 BGB in conjunction with § 1116(2) BGB , because the loss of the certificate blocks the transaction. The registered interest rate is deliberately above the contractual interest rate; it is not a loan interest rate, but a proprietary reserve for default damage and costs. If the land charge is created by the buyer before transfer of ownership, this happens on the basis of the seller's authorization to encumber ; its purpose limitation is mandatory. In depth: /immobilien-grundbuchrecht:grundstueckskaufvertrag.

3. Security agreement and security purpose

The security agreement (declaration of security purpose) links the abstract land charge with the claim to be secured. It is the actual subject of examination:

  • Narrow security purpose: Only the claim specifically designated in the contract is secured. For third-party security providers, the only reasonable scope.
  • Broad security purpose: All existing and future claims of the creditor arising from the business relationship are secured. Common in forms vis-à-vis the personal debtor; vis-à-vis a third-party security provider , a standard-form extension to third-party and future liabilities is surprising and disadvantageous (§§ 305c, 307 BGB).
  • From the security agreement follows the defense of non-disbursement and overcollateralization: The owner can oppose enforcement by arguing that the secured claim does not exist or no longer exists.
  • It further establishes the claim for return and the creditor's obligation to release securities that have become free.

4. Submission to immediate enforcement (§ 794(1) no. 5 ZPO)

In the deed of creation, the owner submits, on account of the land charge amount together with interest, to immediate enforcement against the property (proprietary submission); in addition, the debtor regularly assumes personal liability for the amount and also submits to enforcement against his entire assets in that respect. This creates an enforceable title without court proceedings — the reason why land charge enforcement proceeds so quickly.

Points to check:

5. Assignment (Section 1192 of the Civil Code, Section 1154 of the Civil Code)

The land charge is transferred under Section 1192(1) of the Civil Code in conjunction with Section 1154 of the Civil Code: in the case of a book land charge by agreement and registration (Section 1154(3) of the Civil Code), and in the case of a letter land charge by written declaration of assignment and transfer of the letter. Because the land charge is not accessory, it can be separately from the loan claim transferred — precisely therein lay the risk of the loan sales: the acquirer could enforce from the instrument without being bound by the security agreement.

6. Protection by objection against the assignee (Section 1192(1a) of the Civil Code)

The legislature responded to this gap with Section 1192(1a) of the Civil Code: in the case of a land charge that has been granted to secure a claim (security land charge), objections arising from the security agreement can also be raised against any acquirer of the land charge ; Section 1157 sentence 2 of the Civil Code does not apply. A good-faith acquisition free of objections is therefore excludedin the case of the security land charge. Practical consequences:

  • The owner retains the objection of non-disbursement also against the assignee.
  • The acquirer must ascertain the state of disbursement; reliance on the land register does not help him in this respect.
  • The exclusion applies only to securityland charges; in the case of the isolated land charge without a security purpose, the general protection of good faith remains.
  • The personal submission follows its own rules — here the succession clause under Section 727 of the Code of Civil Procedure can be challenged separately.

7. Claim to return and consent to deletion

If the secured claim has been extinguished or the security purpose has ceased to apply, the security provider has a claim to returnunder the security agreement. It is a right of choice with three options: release authorization (extinction of the right), waiver by the creditor with the consequence of an owner's land charge (Section 1168 of the German Civil Code (BGB) in conjunction with Section 1192 of the German Civil Code (BGB)), or assignment of the land charge to the owner or a third party. Economically, release is often the worst route: subordinate rights move up, and the free rank is lost. Anyone wishing to refinance has the land charge assigned. The claim to return is itself attachable and is regularly attached by second creditors — before any reversal, Division III must be checked for attachment notations.

Deterministic calculation

Overdue loan installments and interest on the secured claim are arithmetic; the calculator in ../../../scripts/legal_calc/ makes only these. Whether default has occurred, whether there is an effective termination of the loan, and which interest rate applies remain legal inputs. The base interest rate is a mandatory input and must be checked against the publication of the Deutsche Bundesbank; the land charge interest entered in the land register is not the default interest.

Risks / typical errors

  • Accessoriness assumed — the land charge does not lapse upon repayment of the debt; anyone who does nothing after repayment leaves a fully effective security in the land register.
  • Broad security purpose for third-party security providers — the standard-form extension to third-party and future liabilities is surprising and disadvantageous (§§ 305c, 307 BGB).
  • Scope of the submission not read — the personal assumption of debt under § 794 para. 1 no. 5 ZPO opens up enforcement against the entire assets, not only the property.
  • Claim for restitution exercised as deletion — subordinate rights move up and the free rank is lost; economically, assignment is usually the correct approach.
  • Attachment of the claim for restitution overlooked — second-ranking creditors have attached it; a reversal to the owner then comes to nothing.
  • Defense protection under § 1192 para. 1a BGB misjudged — it applies only to security land charges and does not protect against personal submission; the succession clause under § 727 ZPO must be examined separately.
  • Land charge interest confused with default interest — the registered interest rate is a proprietary reserve, not a claim to contractual interest.
