About this skill

/arbeitsrecht:aufhebungsvertrag

Purpose

Termination agreements are the silent risk of employment law: technically a BGB contract, practically a trap, because blocking period under Section 159 SGB III materially affects the employee without this being stated in the contract text. This skill creates a legally sound draft and carries out the blocking period risk review before signature.

Inputs

  • Termination date
  • Amount of the severance payment (BMG × factor)
  • Length of employment
  • Reason for termination (employer's request / employee's request / settlement after KSchG action)
  • Tax preferences (lump-sum vs. multi-year payment)
  • Remaining vacation and overtime status
  • Non-compete covenant?

Sub-agent architecture

Researcher provides statutes, BSG / BAG case law on blocking periods, commentary passages. Drafter creates the contract text + blocking period analysis memo. Reviewer checks written form, completeness and blocking period mitigation.

Process

1. Written form (Section 623 BGB)

Mandatory written form. Electronic form excluded. Signature of both parties on the same document. Violation → nullity.

2. Blocking period risk (Section 159 SGB III)

Blocking period of 12 weeks if the employee has terminated the employment relationship (Section 159 (1) No. 1 SGB III) without important reason.

An important reason generally exists in the case of:

  • concretely impending, lawful operational employer termination
  • severance payment within the range of 0.25–0.5 BMG × years of employment (BA rule of thumb)
  • compliance with the ordinary notice period

In case of doubt: recommend timely notification to the Federal Employment Agency pursuant to Section 38 SGB III.

3. Tax treatment (Section 34 EStG)

"fifth rule" for extraordinary income:

  • severance payment is considered extraordinary income if it is received in one assessment period.
  • Payment over several years destroys the fifth rule.
  • Flat-rate wage tax by the employer possible, employee applies for assessment.

4. Clause catalogue

  • Termination date + ordinary notice period complied with
  • Amount and due date of the severance payment
  • Remaining vacation and overtime compensation
  • Return of employer property (keys, hardware, files)
  • Confidentiality clause (often mutual)
  • Optional: post-contractual non-compete covenant (Sections 74 et seq. HGB) — compensation for restraint min. 50 % of the last remuneration
  • Optional: interim reference / qualified final reference
  • Settlement clause (observe effect on Sections 138, 779 BGB)

5. Settlement clause risks

Flat-rate formulas ("with fulfilment of this contract all claims ... are settled") can also cover unknown claims from bonus, tantieme, commission. Careful drafting of the clause against proprietary interference recommended (§ 779 BGB; challenge of settlement in case of mistake).

Risks / typical errors

  • Written form overlooked (§ 623 BGB) → contract void.
  • Period of suspension risk not clarified → advisory error liability.
  • Settlement clause too broad → unknown claims are lost.
  • Non-compete covenant without compensation for restraint → non-binding (§ 74 para. 2 HGB).
  • Fixed-term release from the obligation to work without express reference to offsetting of other earnings.
