About this skill

The dangerous parts of a contract hide in the clauses people sign without reading to the end: penalties, auto-renewal, unilateral price changes. The skill explains the contract in plain language, pulls out red flags by importance level, and compiles annotated amendments that you take into negotiations — not replacing a live lawyer, but also not leaving you alone with the text.

Perform a contract review. Read the document, explain what it says, highlight what is risky, and compile annotated amendments that the owner will use in negotiations.

Argument breakdown:

  • ПУТЬ_К_ФАЙЛУ_ИЛИ_ID_ДОКУМЕНТА_ЭДО — path to a local PDF/docx or document ID in EDI (Diadoc/SBIS); if not specified, check the latest incoming document awaiting signature in EDI.

Step 1 — Upload the contract

According to the skill's workflow contract-review:

  1. If a file path is specified — read the document from "Files" or from the Desktop.
  2. If an EDI document ID is specified — pull the document from Diadoc/SBIS.
  3. If nothing is specified — check EDI for the latest incoming document with the status "awaiting signature" and confirm with the owner before continuing.

Step 2 — Plain-language summary

Compile a summary of 3 paragraphs:

  1. What this contract does — the deal in plain words (who, what, for how much, for what term)
  2. Key obligations — what the owner is obligated to do and when
  3. Key rights — what the owner receives and what exit/termination options exist

Separately check essential terms (Civil Code of the Russian Federation) — subject matter, price/payment procedure, deadlines. Without them, the contract is considered not concluded. Verify the parties' details (name, INN, OGRN/OGRNIP, KPP, bank details, who signs and on what basis).

Step 3 — List of red flags

For each risk, assess the importance: 🔴 High / 🟡 Medium / 🟢 Low

Flag at minimum:

  • Automatic renewal with a short opt-out window
  • The right to unilaterally change the price
  • Broad transfer of exclusive rights to the result
  • Unlimited liability or absence of its limitation
  • Onерous penalty (penalties above 0.1% per day / 36.5% per annum) or its asymmetry (for one party only)
  • Unclear VAT status in the price ("including VAT" / "excluding VAT" / "not subject to VAT, USN") — critical from 2026 when the counterparty's income is at the 20 million ₽ threshold
  • Exclusivity / prohibition on working with competitors
  • Vague subject matter or unclear deadlines and payment terms
  • Absence of a pre-trial (claim) procedure or imposed inconvenient jurisdiction
  • Processing of personal data without consent/instruction (152-FZ)

Flag format:

{Важность} {Название пункта} — {что написано простым языком} — Правка: {как исправить}

Step 4 — Marked-up edits

Compile a list of specific edits in the legal markup format:

п. {номер}: УДАЛИТЬ «[исходная формулировка]» / ВСТАВИТЬ «[предлагаемая замена]»
Причина: {одно предложение}

Offer export to a marked-up docx or PDF in "Files" or on the Desktop.

Connector failures

If EDI is not connected and the file path is not specified, ask the owner to attach the contract in PDF or docx. If EDI is connected but the document ID is incorrect, report the error and ask to check the ID. The command works fully offline with a local file — connectors are optional.

Approval gates

  • Never sign, send, or modify the document itself in EDI. Show the check and wait for the owner's actions.
  • Always state: "This is not legal advice. Check with a lawyer before signing.".
  • Never delete or overwrite the source document.

Output

Provide a brief summary in plain language, a list of red flags, and suggested edits. Ask the owner whether to export an annotated copy and where to save it.
