Demand Letter Client Intake
Purpose
Drafting is downstream. The value is before writing — forcing the questions a careless letter would skip. Leverage, best alternative, downside tolerance, confidentiality filters, actual audience. A demand letter sent before thinking through those is worse than no letter at all.

Client Intake
Core — always ask (8 questions)
1. Letter Type
付款催告 | 违约/催告整改 | 停止侵权 | 劳动合同相关 | 证据保全 | 其他
2. Parties
- Sender: our company (specify the specific entity if there are multiple entities)
- Recipient: opposing party — name, entity, address
- Recipient audience: who actually reads it (legal? CEO? individual?)
- Relationship:
客户 | 供应商 | 前员工 | 竞争对手 | 第三方 | 其他
3. Triggering Event
- What happened and when (dates matter — statute of limitations, notice periods)
- Available evidence (contracts, emails, records, witnesses)
4. Legal/Contractual Basis
- Which provisions — point to specific contract clauses if applicable
- Governing law (jurisdiction, choice-of-law clause)
- Statutes and regulations relied on (placeholders are fine — the draft will flag
[引用:___])
5. Desired Outcome
- Specific demands. Not "resolve" — pay X yuan by date Y; stop Z specific activity; rectify within N days; return specific property.
- If there are multiple demands, rank them (primary vs alternative)
6. Deadlines
- External deadlines driving this (statute of limitations, continuing-harm window, business events)
- Compliance period required by the letter
7. Prior Communications
- Has this matter already been raised informally? When, by whom, and in what form?
- Any response so far?
- Why is escalation to a demand letter happening now?
8. Distribution
- Method of service
- Signatory
- CC — internal stakeholders
Strategy — ask when substantively important or --full .
9. Leverage and Best Alternative
- What gives us negotiating power (contractual rights, factual leverage, reputation, business)
- What if they refuse — are we prepared to litigate?
- What might their best alternative be
10. Downside Tolerance
- Reputational risk if this becomes public
- Precedent risk — does this letter set a pattern that affects other matters?
- Regulatory/disclosure implications
11. Tone and posture
- Relationship-preserving / restrained / aggressive — depends on the relationship, the amount, and the likelihood of litigation
12. Confidentiality filter
- What from our internal analysis must not appear in the letter?
- A single poorly worded sentence can constitute an admission. Make clear what stays out.
13. Risk of admissions and waivers
- Does the letter contain anything the other side could later characterize as an admission of fact or liability?
- Has any right been waived without a reservation of rights?
