About this skill

/agrarrecht:agrar-grundstuecksverkehrsrecht

Purpose

The skill reviews whether a purchase contract for agricultural land is subject to approval under the Grundstückverkehrsgesetz (GrdstVG) and which grounds for refusal under § 9 GrdstVG may prevent approval. It addresses the pre-emption right under settlement law under § 4 RSG, which the approval authority exercises in favor of a settlement enterprise, as well as the notification and objection duty for agricultural lease agreements under §§ 2, 4 LPachtVG. Reviewer blockers: Without GrdstVG approval, the transfer of ownership is provisionally ineffective (§ 2 para. 1 GrdstVG).

Inputs

  • Contract type (purchase contract, gift, exchange contract, agricultural lease agreement) and contract date
  • Location and size of the area (parcel designation as [Flurst.-Nr.], hectares)
  • Type of use (arable land, grassland, forest — special case, BWaldG/LandesWaldG, generally not GrdstVG)
  • Federal state (thresholds specific to the state)
  • Status of the parties (farmer within the meaning of § 1 ALG / non-farmer; co-bidder from agriculture present?)
  • Procedural status (notarial contract concluded / approval applied for / refusal notice issued / pre-emption right exercised / complaint lodged)

Sub-agent architecture

Researcher provides §§ 2–9, 22 GrdstVG, §§ 4, 6 RSG, §§ 2, 4 LPachtVG, BGB pre-emption and lease provisions, the state-law implementing provisions as well as BGH Agricultural Senate and OLG lines on § 9 GrdstVG. Drafter prepares, in the style of a legal opinion, a memo on approvability or a complaint under § 22 GrdstVG in conjunction with § 9 LwVG. Reviewer reviews the approval period, the pre-emption exercise period § 6 RSG, the notification period § 2 LPachtVG and the provisional ineffectiveness of the contract without approval.

Procedure

1. Scope of application of the GrdstVG

Subject to approval under § 2 para. 1 GrdstVG is the legal transaction-based transfer of agricultural or forestry land. Excepted under § 2 para. 3 GrdstVG are in particular land below the minimum size determined by state law (thresholds per federal state between 0.25 ha and 2 ha; take the specific threshold from the respective state law [unverifiziert – aktueller Stand prüfen]). Forestry land is generally subject to the notification rather than approval requirement under state forestry law.

2. Approval procedure

The notary submits the contract to the approval authority (usually the district / agricultural authority). The authority decides within 1 month of receipt (§ 6 para. 1 sentence 1 GrdstVG); extension to up to 2 months is possible (§ 6 para. 1 sentence 2). If no action is taken after the period expires, approval is deemed granted — deemed approval § 6 para. 2 GrdstVG [unverifiziert – Wortlaut im aktuellen Stand prüfen].

Legal consequence of the approval requirement: suspensive ineffectiveness of the transfer of ownership; conveyance (§ 925 BGB) and entry in the land register only become effective upon grant of the approval (or occurrence of the deemed approval).

3. Grounds for refusal § 9 GrdstVG

The approval must be refused (bound decision) if one of the grounds of § 9(1) GrdstVG exists:

No. Ground for refusal
1 Unhealthy distribution of land — in particular if a non-farmer acquires agricultural land although a farmer in need of expansion is willing to purchase at market value (acquisition by a non-farmer)
2 Uneconomic reduction in size or division of a viable agricultural holding
3 Gross disproportion between the agreed purchase price and the market value (as a rule > 50 % above market value)

Standard: BGH-BLw-Senat, line on § 9(1) No. 1 GrdstVG (farmer in need of expansion, willingness to purchase at market value) [unverifiziert – prüfen in juris/openjur]; furthermore BVerfG on interference with Art. 14 GG through the refusal of approval [unverifiziert].

4. Pre-emption right under settlement law § 4 RSG

Instead of refusing, the approval authority may settlement company (recognized as charitable under RSG) the pre-emption right notify; this can be exercised within 2 months from notification (§ 6(1) RSG in conjunction with § 469(2) BGB). The declaration of exercise is made in a prescribed form vis-à-vis the seller.

Consequences:

  • Upon exercise, the purchase contract between the seller and the settlement company comes into existence on the same terms (§ 464(2) BGB).
  • The original buyer loses its position; if applicable, unwinding between the seller and the first buyer under general rules (§§ 280 et seq., 311a BGB).
  • Relevant in practice: The settlement company as a rule passes the land on to a farmer in need of expansion locally.

Competition with other pre-emption rights (municipal pre-emption right § 24 BauGB, pre-emption rights under BGB contracts) must be examined separately.

5. Law on agricultural lease transactions (LPachtVG)

Agricultural lease agreements as a rule are not subject to approval, but to the notification obligation § 2(1) LPachtVG: Within 1 month after conclusion of the contract, the contract must be notified to the competent authority (agricultural office).

Grounds for objection § 4 LPachtVG:

  1. Unhealthy distribution of land use
  2. Uneconomic division
  3. Lease at gross disproportion to the yield (as a rule > 150 % of the customary local lease)

In the case of large leased areas or unusually long lease terms, an approval requirement sometimes applies (§ 5 LPachtVG or extension under Land law [unverifiziert]).

The authority may object to the contract within the objection period (as a rule 1 month from notification); in the event of an objection, proceedings before the agricultural court.

6. Legal protection

  • Complaint against the refusal decision or the objection to the OLG Agricultural Senate pursuant to §§ 22 et seq. GrdstVG in conjunction with § 9 LwVG, deadline generally 1 month from service [unverifiziert – konkrete Frist prüfen].
  • Complaint against LwG order to the BGH Agricultural Senate in accordance with the provisions of the LwVG and FamFG (subject to admission).
  • Constitutional complaint under Art. 14 GG possible in cases of arbitrary refusal; high threshold.

Example (excerpt, legal opinion style)

III. Ground for refusal § 9(1) no. 1 GrdstVG. The client is a non-farmer within the meaning of § 1 ALG; the competing interested purchaser (a farmer with a farmstead 1.8 km away) has demonstrated a need for expansion in the approval proceedings and declared willingness to purchase at the market value of EUR 28,500/ha [unverifiziert – konkreter Verkehrswert dem regionalen Bodenrichtwert entnehmen]. According to the settled case law of the BGH Agricultural Senate, [unverifiziert – prüfen in juris] this constellation leads to refusal due to unhealthy distribution of the land. Approval is therefore not to be expected. Alternatively the authority may, pursuant to § 4 RSG, notify the settlement company of the pre-emptive right; the exercise period is 2 months from notification (§ 6(1) RSG). Until approval or the occurrence of deemed approval (§ 6(2) GrdstVG), the transfer of ownership remains provisionally ineffective (§ 2(1) GrdstVG); registration of the client as owner is therefore currently impossible.

Risks / typical mistakes

  • GrdstVG approval not applied for → pending invalidity; the notary must submit the contract to the authority. (🔴 BLOCKER if overlooked.)
  • Threshold of the federal state incorrectly assessed — the minimum size under state law varies.
  • Settlement pre-emption right not anticipated in the drafting of the contract; a condition subsequent in the purchase contract is missing.
  • Appeal period § 22 GrdstVG / § 9 LwVG missed; thereafter the refusal becomes final.
  • "Gross disproportion" § 9 (1) no. 3 asserted or defended without a market value appraisal.
  • LPachtVG notification § 2 forgotten — risk of objection § 4 LPachtVG.
  • Confusion of jurisdictions: Agricultural Court (LwVG) for GrdstVG/LPachtVG/LwAnpG disputes; not an ordinary civil division.
